By accessing or using OpenRoads ("Service"), operated by OpenRoads LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. We reserve the right to modify these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.
OpenRoads is a platform that connects truckers with service providers including, but not limited to, mechanics, tire services, towing, parking yards, and other trucking-related businesses. We provide a directory and listing service and do not directly provide any trucking services ourselves.
You may browse the Service without creating an account. To access certain features (including creating an account, submitting a business listing, or purchasing a subscription), you must create an account.

OpenRoads does not create business listings on behalf of businesses. Listings are created and managed by users who represent and warrant that they are authorized to do so.
If you list a business on OpenRoads, you represent and warrant that:
We reserve the right to remove or suspend any listing at our sole discretion, with or without notice, for any reason including suspected fraud or violation of these Terms.
Paid subscriptions are billed in advance on a monthly basis. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel. You are responsible for providing accurate billing information and keeping your payment method current.
Prices are subject to change with 30 days' notice. Continued use after a price change constitutes acceptance of the new pricing.
Refunds are limited to a maximum of one (1) month of subscription fees.Refund requests must be made within 30 days of the charge date.

You may cancel your subscription at any time through your account settings or by contacting us. Upon cancellation, your subscription will remain active until the end of the current billing period. No prorated refunds are provided for unused portions of a billing period. Your listing will be removed from public view upon subscription expiration.

You retain ownership of content you submit ("User Content"). By posting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your content in connection with the Service.
You are solely responsible for your User Content. We do not endorse or guarantee the accuracy of any User Content and reserve the right to remove content that violates these Terms.
The Service, including its design, features, and content (excluding User Content), is owned by OpenRoads LLC and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
We do not warrant that:
OpenRoads is a directory service only. We are not responsible for the actions, services, or conduct of any business or user on the platform. OpenRoads is not a party to any agreement, transaction, or dispute between users and service providers. You use the Service at your own risk.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPENROADS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.
Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.
You agree to indemnify, defend, and hold harmless OpenRoads LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the Service, your User Content, or your violation of these Terms.
The Service may contain links to third-party websites or integrate with third-party services (such as payment processors). We are not responsible for the content, privacy practices, or terms of any third-party services. Your use of third-party services is at your own risk.
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination shall survive, including ownership, disclaimers, indemnification, and limitations of liability.
Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Tampa, Florida.
Class Action Waiver: You agree to resolve disputes on an individual basis only. You waive any right to participate in a class action lawsuit or class-wide arbitration.
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and OpenRoads LLC regarding the Service and supersede all prior agreements and understandings.
